Terms of Service

These Terms of Service ("Terms") govern your access to and use of AlmaDeck (the "platform"), operated from the Federal Republic of Nigeria. By creating an account or using the platform, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use AlmaDeck.

1. Eligibility and age

You must be at least 16 years old to use AlmaDeck. If you are 16 or 17 years old, you may use the platform only with the consent and supervision of a parent or legal guardian, who accepts these Terms on your behalf. By using AlmaDeck you confirm that you meet these requirements.

2. What AlmaDeck is — and is not

AlmaDeck provides software tools that enable alumni associations and similar organizations to manage memberships, directories, communications, events, donations, dues collection, and related activities. AlmaDeck does not supervise, direct, manage, or control any association's governance, finances, elections, membership decisions, fundraising activities, communications, or compliance obligations. Associations remain solely responsible for their own activities, policies, and decisions.

AlmaDeck does not independently verify every user's identity, educational history, graduation year, qualifications, membership eligibility, or alumni status. Associations are responsible for determining membership eligibility and verifying credentials where required.

AlmaDeck is not a financial institution, not an employer, and not a legal representative, agent, or fiduciary of any association, officer, or member.

3. Your account

You are responsible for your account and all activity under it. Provide accurate information — your real name, the school you actually attended, and your correct graduation year — and keep your password secure. Do not share your login credentials.

You must verify your account using either email or phone within 28 days of registration. Accounts not verified within this period are marked dormant and have limited access until verification is completed.

4. User-generated content

You are solely responsible for any content you post, upload, or share on AlmaDeck — including profile information, announcements, photos, and messages. You must not post unlawful, defamatory, infringing, harmful, or misleading content.

AlmaDeck may review, remove, or restrict any content at its sole discretion, with or without notice, and is under no obligation to monitor content.

5. Association autonomy

Each association on AlmaDeck operates independently and is responsible for its own governance, decisions, and conduct. AlmaDeck is not responsible for the actions or decisions of any association or its officers — including membership approvals or removals, dues policies and disputes, elections, or internal governance. Disputes within an association must be resolved within that association.

6. Association officer conduct

Association officers act on behalf of their respective associations and not on behalf of AlmaDeck.

Association officers may be granted access to member information and administrative tools necessary for legitimate association operations, including member communications, membership administration, dues collection, event administration, and governance activities.

AlmaDeck is not responsible for the actions, omissions, decisions, communications, misuse of authority, misuse of data, financial decisions, or other conduct of association officers. Any dispute relating to officer conduct shall be addressed between the affected parties and the association concerned.

7. Financial transactions

AlmaDeck facilitates payments through third-party payment processors, including Paystack. AlmaDeck does not receive, process, or store card numbers, card security codes (CVV), or expiration dates; payment information is processed directly by the payment processor.

AlmaDeck currently charges a 1% platform fee on membership dues collected through the platform, and a 3% platform fee on donations processed through the platform. Platform fees may be updated from time to time, and any material changes will be communicated through the platform.

Associations are solely responsible for determining membership dues, donation campaigns, event pricing, refund policies, and financial management practices. AlmaDeck does not verify, audit, supervise, endorse, or guarantee the use of funds collected by associations.

Payment disputes, chargebacks, failed transactions, banking issues, payout delays, and processor-related disputes remain subject to the policies of the relevant payment processor and the parties involved.

8. Subscriptions and cancellation

AlmaDeck currently offers a Free Plan, a Standard Plan, and a Professional Plan. Features available under each plan may change over time.

Paid subscriptions are billed in advance and renew automatically until cancelled. Associations may cancel at any time through the Billing section of the platform. Upon cancellation, access to paid features continues until the end of the current billing period, after which the association reverts to the Free Plan.

Except where required by law, subscription fees, platform fees, and related charges are non-refundable.

9. Intellectual property

AlmaDeck owns all rights to the platform, including its software, design, branding, and content created by AlmaDeck. Content you create remains yours. By posting it, you grant AlmaDeck a non-exclusive, worldwide, royalty-free licence to host, display, and distribute that content as necessary to operate the platform. You may not copy, resell, or reverse-engineer the platform.

10. Data ownership

Users retain ownership of the content and information they submit to AlmaDeck. Associations retain ownership of association-specific content, records, communications, and member information uploaded or managed through the platform.

AlmaDeck receives only the limited rights necessary to host, store, display, process, transmit, back up, and otherwise operate the services provided through the platform. Nothing in these Terms transfers ownership of user content or association content to AlmaDeck.

11. Acceptable use

You agree not to:

  • Impersonate any person or organization.
  • Misrepresent your identity, alumni status, educational history, or credentials.
  • Share account credentials with others.
  • Attempt to gain unauthorized access to accounts, systems, or data.
  • Scrape, harvest, copy, or extract member information or directories without authorization.
  • Use automated bots, scripts, crawlers, or other tools to collect information from the platform.
  • Upload malware, viruses, malicious code, or harmful content.
  • Conduct phishing, fraud, scams, or deceptive activities.
  • Interfere with the operation, security, or availability of the platform.
  • Use AlmaDeck for unlawful purposes.

Violation of this section may result in immediate suspension or termination.

12. User interactions

AlmaDeck provides tools that facilitate connections between alumni, associations, officers, mentors, employers, sponsors, donors, and other users. Users interact with one another at their own risk.

AlmaDeck does not conduct background checks and does not guarantee the identity, qualifications, conduct, accuracy, reliability, intentions, or legitimacy of any user, association, employer, mentor, sponsor, donor, opportunity, scholarship, or communication made through the platform. Users are responsible for exercising appropriate judgment when interacting with others.

13. Third-party services

AlmaDeck integrates with third-party services, including payment processing, email delivery, and authentication providers. We are not responsible for the availability, security, accuracy, or terms of any third-party service, and your use of them may be subject to their own terms.

14. Limitation of liability

AlmaDeck is provided "as is" and "as available", without warranties of any kind, express or implied. To the fullest extent permitted by law, AlmaDeck shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or goodwill.

AlmaDeck's total aggregate liability for any claim shall not exceed the total amount you paid to AlmaDeck in the twelve (12) months preceding the event giving rise to the claim.

AlmaDeck shall not be liable for losses arising from:

  • Actions or omissions of associations or their officers.
  • User misconduct.
  • Payment processor failures or delays.
  • Internet outages.
  • Hosting provider failures.
  • Telecommunications failures.
  • Cyberattacks.
  • Unauthorized third-party access.
  • Data loss caused by third-party providers.
  • Force majeure events.

15. Indemnification

You agree to indemnify, defend, and hold harmless AlmaDeck and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the platform, your content, or your violation of these Terms.

16. Suspension and termination

AlmaDeck may suspend, restrict, or terminate accounts immediately where necessary to protect platform security, users, legal compliance, or the integrity of the service. Where reasonably practicable, AlmaDeck may provide notice prior to suspension or termination. Users may stop using the platform and close their accounts at any time.

17. Data and privacy

We collect and process personal data in accordance with our Privacy Policy and the Nigeria Data Protection Act (NDPA) 2023. By using AlmaDeck, you consent to the collection and processing of your data as described in the Privacy Policy.

18. Service availability

AlmaDeck does not guarantee that the platform will be uninterrupted, error-free, or available at all times. We may modify, suspend, or discontinue any part of the service at any time.

19. Future services

AlmaDeck may introduce additional products, services, features, integrations, mobile applications, messaging services, mentorship programs, job boards, scholarship tools, fundraising tools, election systems, AI-powered features, and related functionality from time to time. Certain features may be subject to additional terms, policies, or guidelines.

20. Force majeure

AlmaDeck shall not be liable for delays, interruptions, failures, or inability to perform obligations caused by circumstances beyond its reasonable control, including:

  • Natural disasters.
  • Government actions.
  • War.
  • Civil unrest.
  • Labour disputes.
  • Internet failures.
  • Utility failures.
  • Hosting outages.
  • Cybersecurity incidents.
  • Third-party service interruptions.
  • Payment processor disruptions.

or any similar event beyond AlmaDeck's reasonable control.

21. Dispute resolution

Any dispute arising from these Terms or your use of AlmaDeck shall first be resolved through good-faith negotiation. If unresolved, the parties shall attempt mediation, and failing that, binding arbitration conducted under the laws of the Federal Republic of Nigeria. You agree to resolve disputes individually and waive any right to bring or participate in class actions or representative proceedings.

22. Governing law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law principles.

23. Changes to these Terms

AlmaDeck may update these Terms at any time. Continued use of the platform after changes take effect constitutes acceptance of the updated Terms. We will communicate material changes by email to registered users. The current version and effective date are shown at the top of this page.
